Terms of Service

Welcome to Escape Platforms Inc. ("Escape", "we", "us" or "our" as the context dictates). We are excited to offer you our online social media platform and its related communications services, sites, applications and tools (collectively, the "Services"). The terms set out below (these "Terms of Use") in combination with any other applicable agreement, including but not limited to our Privacy Policy, which is incorporated by reference (these Terms of Use together with such other documents, our "Terms"), govern your use of the Services.

Please read our Terms carefully since they are legally binding and have sections which contain important information about use, rights, liability, your obligations and matters related to disputes, including the exclusive use of arbitration to resolve disputes.

By agreeing to these Terms (including by a click-through or other agreement), you expressly acknowledge that you have read these Terms and agree to all of its respective terms and conditions.

Also, by agreeing to these Terms (including by a click-through or other agreement), you are waiving, to the extent permitted under applicable Laws, any rights or legal requirements that require an original (non-electronic) signature or the delivery or retention of non-electronic records in order for a contract to be legally binding. By using the Services, you confirm that you accept our Terms and that you agree to abide by them.

If you do not, or are unable to, agree to our Terms, please do not use our Services. Any continued use of the Services by you shall be considered as your consent and agreement to our Terms.

1. Definitions

"Account" means a User's account that was registered on our Platform and created for the purposes of accessing our Services.

"Aggregated Information" means all information derived from your use of Services and including without limitation, usage information, data and other content, provided however, such information shall not be able to reveal User or your identity.

"Business Partners" has the meaning ascribed to it in Section 13.

"Certify" means being officially recognized as possessing a certain qualification, criteria or meeting certain standards.

"Escape Content" means any Content provided by us on the Platform in provision of Services.

"Content" means any information, text, document, articles, blogs, links, reports, data, databases, tools, e-mail, code, photographs, pictures, audio, video, postings, graphics (including illustrations and animations), comments, interfaces, webpages, files, software, product names, company names, trade-marks, logos, trade names, content or other materials on the Platform.

"Credentials" means account log-in and other details which are relevant to your access to Services.

"User Input" means any Content submitted or otherwise shared by you in the course of provision of the Services, including suggestions, modifications or other actions undertaken by you or is otherwise shared with Users through Escape.

"Handle" means to process, record, transfer, access, receive, use, disclose, retain, dispose of, destroy, manage, collect, store, or otherwise handle and any variation of "Handle" and "Handling" has the same meaning depending on the context.

"Laws" means any statute, ordinance, regulation, rule, code, constitution, treaty, common law, governmental order or other requirement or rule of law of any governmental authority.

"User(s)" means anyone who is using our Services, whether or not he or she has an Account.

"Platform" means (i) any website (including esc-ape.ca) and a sub-domain or any such websites, and (ii) any mobile application for such websites or any other website operated by us, in connection with the Services provided to you.

2. Understanding the Role of Each Party

(a) We are only responsible for providing the Services to you (the "User", "you" or "your" as context dictates). We provide the Services in our own personal or corporate capacities, and not as employees, agents, or representatives of a User. The User in these Terms of Use refers to the person who is subscribing to our Services acting solely for the person's own benefit or acting on behalf of others.

(b) If you are using the Services on behalf of an organization, you agree to the Terms on behalf of that organization, and represent you have authority to bind that organization to the terms contained herein.

(c) Escape does not control User Content. When we become aware of inappropriate Content on our Platform, we reserve the right to investigate and take appropriate action, but we do not have any obligation to monitor, nor do we take responsibility for User Content.

(d) Escape is not a party to any offline arrangements made through our Platform. Escape does not conduct or require background checks on Users and does not attempt to verify the truth or accuracy of statements made by other Users. Escape makes no representations or warranties concerning User Content or the conduct of other Users or their interactions with you.

3. Service Offering

(a) Registration and Account Set-up. Please create an account in order to utilize our full set of Services. Once an Account is created, you are responsible for managing the Account. You should also inform us promptly of any changes to the information provided in order to ensure effective communication with Escape.

(b) Credentials Management and Incidents. You shall: (1) keep your Credentials strictly confidential and secure; (2) only share your Credentials with those who are authorized to represent you and execute actions on your behalf, but please ensure such person abides by the Terms; and (3) inform us immediately if the confidentiality of any part of your Credentials has been compromised.

(c) Suspicious Activity. (i) If we suspect any unauthorized access to your Account or that there is suspicious activity in relation to your Account, we retain the right, but do not have the obligation, to suspend your Account and take any other related action as we deem reasonable. (ii) If any communication you receive looks suspicious or has links that you do not expect, please do not open or click through. Instead, email us at general@esc-ape.ca.

(d) Cancellation by User. As a User, you may decide at any time to cancel your Account.

4. Fees

(a) At present, our Services are free of charge. We reserve the right to start charging for Services at any point. If we decide to charge a fee, we will notify you in advance.

(b) In the future, different subscriptions or certain premium features could be subject to a fee (the "Subscription Fees"). Specific terms and pricing of Subscription Fees, if any, will be provided on our Platform when such Subscription Fees become available. Once a fee structure is in place, payment terms, billing periods and other related details will be communicated to you. Any disputes regarding the Subscription Fees should be reported to us within thirty (30) days of the transaction date.

5. Representations, Warranties and Covenants

You represent, warrant and covenant that:

(a) You have the legal capacity, right, power and authority to enter into our Terms and agree to be bound by our Terms.

(b) You shall be solely responsible for any decisions, actions, claims, or demands that may be taken or brought against you or otherwise resulting from the use or your reliance on our Services.

(c) Our Terms do not constitute your legal, accounting or professional advice, and before you take or refrain from taking any action in reliance on our Services, you should consult with appropriate professionals.

(d) You are at least eighteen (18) years of age or the age of majority in your jurisdiction and possess the legal right and ability to enter into our Terms.

(e) If you are using the Service on behalf of your employer or another entity, you represent and warrant that you have full legal authority to bind your employer or such entity to the Terms.

(f) All registration information you submit is accurate, truthful and complete, and you will maintain the accuracy of such information.

(g) You will not use the Service for any illegal or unauthorized purpose, and you will comply with all applicable Laws, rules, and regulations.

(h) You will not use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.

(i) You will not attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.

(j) You will not use any automated system, including without limitation robots, spiders, or offline readers, to access the Service for any purpose without our prior written approval.

(k) Your use of our Services, Platform and the User Input will not contravene or infringe the Intellectual Property Rights or any other rights of any third party or Escape.

(l) You will not post, upload, transmit, or otherwise make available any User Input that is false, inaccurate, misleading or fraudulent; defamatory, libelous or invasive of another's privacy; harassing, threatening, abusive, hateful, or racially, ethnically or otherwise objectionable; violent, vulgar, obscene, pornographic or otherwise sexually explicit; or that infringes or may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party.

(m) You will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

(n) You will not post, upload, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.

(o) You will not post, upload, transmit, or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

(p) You will not interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service.

(q) Your use of our Services or any User Input will not contravene our Code of Conduct.

(r) You will comply with all applicable Laws in your use of the Services and will not use the Services for any unlawful purpose.

6. Proprietary Rights

(a) Ownership of Platform and Escape Content. Except for User Input and Aggregated Information, all rights, title and interest in and to the Platform and Escape Content, and all intellectual property rights relating thereto, shall remain the exclusive property of Escape and our licensors. The Service is protected by copyright, trademark, and other Laws of both Canada and foreign countries. Nothing in the Terms gives you a right to use the Escape name or any of the Escape trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding Escape, or the Service is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

(b) User Input. (i) You retain ownership of any User Input you submit to the Service. However, by submitting User Input to the Service, you grant Escape a worldwide, non-exclusive, royalty-free, transferable, perpetual, irrevocable, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Input (in whole or in part) and to incorporate such User Input into other works in any form, media, or technology now known or later developed. (ii) You represent and warrant that you have all rights necessary to grant the licenses granted in this section and that your User Input, and our use thereof, does not and will not infringe or violate the rights of any third party. (iii) We reserve the right to remove or modify any User Input at any time for any reason, although we have no obligation to do so.

(c) Aggregated Information. We may collect, use, process and store Aggregated Information for the purposes of: (i) better understanding how Users access and use our Services; (ii) improving our Services and responding to User desires and preferences; and (iii) for other research and analytical purposes. We may also share Aggregated Information with third parties for various purposes including business development, marketing, and for improving services and products.

7. Code of Conduct

While using the Service, you agree to comply with the following Code of Conduct:

(a) You will not use the Service to harm minors in any way.

(b) You will not use the Service to stalk, harass, or harm another individual.

(c) You will not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

(d) You will not post, upload, transmit, or otherwise make available any Content that you do not have a right to make available under any law or contractual or fiduciary relationships.

(e) You will not post, upload, transmit, or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party.

(f) You will not post, upload, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.

(g) You will not post, upload, transmit, or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

(h) You will not disrupt or interfere with the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service.

(i) You will not intentionally or unintentionally violate any applicable local, state, national or international law.

(j) You will respect other Users and will not engage in any activity that interferes with or disrupts another User's use or enjoyment of the Service.

8. Changes to Services; Availability and Termination

(a) Escape may change, suspend or discontinue the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

(b) Escape reserves the right to refuse to provide the Services to any person for any reason at any time.

(c) Escape may terminate or suspend your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Account, you may simply discontinue using the Services.

(d) All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

9. Privacy

(a) Information you provide to us through the Services is governed by our Privacy Policy. The Privacy Policy is incorporated into and subject to the terms of this Agreement. Please review our Privacy Policy to understand our privacy practices.

(b) By using the Services, you consent to the collection, use and disclosure of your information as set forth in our Privacy Policy.

10. Permission for Communication

By using the Services and providing your contact information, you agree that Escape may send you communications via email, SMS, or other electronic means regarding your Account, the Services, updates to our Terms or Privacy Policy, and promotional materials. You may opt-out of receiving promotional communications at any time by following the unsubscribe instructions provided in such communications or by contacting us directly.

11. Third-Party Links and Services

(a) The Services may contain links to third-party websites or services that are not owned or controlled by Escape. Escape has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

(b) You acknowledge and agree that Escape shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party websites or services.

(c) We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

12. Release and Indemnification

(a) You agree to release, indemnify, defend and hold harmless Escape and its officers, directors, employees, agents, affiliates, successors and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to: (i) your use or misuse of the Services; (ii) your breach of these Terms; (iii) your violation of any law, rule or regulation, or the rights of any third party; or (iv) any User Input you provide.

(b) This indemnification obligation will survive the termination of these Terms and your use of the Services.

13. Liability

(a) Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ESCAPE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

(b) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ESCAPE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL ESCAPE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO ESCAPE HEREUNDER IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY.

(c) Business Partners

From time to time, Escape may partner with other businesses ("Business Partners") to offer additional services or features. You acknowledge and agree that Escape is not responsible for the products, services, or actions of any Business Partners, and any interactions you have with Business Partners are solely between you and the Business Partner. Escape makes no representations or warranties regarding Business Partners and disclaims all liability arising from your use of or interaction with any Business Partner.

14. Modification of Terms

(a) Escape reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

(b) By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.

15. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Escape's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Escape may freely assign or transfer these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in Ontario for the resolution of any disputes.

17. Arbitration

Any controversy, dispute, disagreement or claim arising out of, relating to or in connection with our Services or any breach thereof, including any question regarding its existence, validity or termination, shall be finally and conclusively resolved by arbitration under International Commercial Arbitration Act, 2017, SO 2017, c 2 (Ontario) (the "Rules"). There shall be one (1) arbitrator selected in accordance with the Rules. The parties to the arbitration shall equally share the fees of the arbitrator and the facility fees and the parties shall each bear their own legal costs and expenses of the arbitration; provided, that the arbitrator shall have the authority to award such fees, costs and expenses in the decision of the arbitrator. The arbitration shall be conducted in English. Any decision of the arbitrator shall be final and binding on the parties and their respective successors and assigns and there shall be no right to appeal such decision, whether on a question of law, a question of fact, or a mixed question of fact and law. Notwithstanding the foregoing, each party shall have the right to seek injunctive or other equitable relief that may be related to the breach of confidentiality obligations or violation of the Intellectual Property Rights set forth in these Terms of Use.

18. Waiver of Class Proceedings

Users hereby waive any right they may have to commence or participate in any class action lawsuit against Escape related to any claim, dispute or controversy and, where applicable, you and any User hereby agree to opt out of any class proceeding against us otherwise commenced.

19. Severability

If any portion or provision of our Terms shall to any extent be declared illegal or unenforceable by a court of competent jurisdiction, then the remainder of our Terms, or the application of such portion of provision in circumstances other than those as to which it is so declared illegal or unenforceable, shall not be affected thereby, and each portion and provision of our Terms shall be valid and enforceable to the fullest extent permitted by law.

20. Headings and Summaries

The headings, captions and summaries in these Terms of Use are for convenience only and in no way define or describe the scope or content of any provision of these Terms of Use.

21. Notices

Except as otherwise stated in our Terms or as expressly required by law, any notice to us, including for purposes of termination, shall be given in writing by certified postal mail to:

Any notice to you shall be given to the most current email address in your Account.

22. Other Rules of Interpretation

Any reference to gender includes all genders; words importing the singular number only shall include the plural and vice versa; the word "or" is not exclusive; the words "including", "includes" and "include" mean "including without limitation"; and "shall" means "will" and "must", all three of which can be changed interchangeably and shall not mean "may".

23. No Waiver of Covenants

Failure by any party to insist upon the strict performance of any of the covenants, agreements, terms, provisions or conditions contained in the Terms or to exercise any election shall not be construed as a waiver or relinquishment of such covenant, agreement, term, provision or condition but the same shall continue and remain in full force. No waiver shall be deemed to have been made unless expressed in writing.

24. Surviving Provisions

Only the following provisions of our Terms of Use shall survive following any termination or expiration: Section 5 (Representations, Warranties and Covenants), Section 6 (Proprietary Rights), Section 10 (Permission for Communication), Section 12 (Release and Indemnification), Section 13 (Liability), Section 16 (Governing Law), Section 17 (Arbitration), Section 18 (Waiver of Class Proceedings), and this Section 24 (Surviving Provisions).

25. Entire Agreement

These Terms of Use, in combination with all policies and guidelines of Escape (including the Privacy Policy), incorporated by reference, constitute the entire agreement between Escape and you and supersede all prior communications, agreements and understandings, written or oral, with respect to the subject matter of our Terms.
